Every (Pty) Ltd company is required by law to have a memorandum of incorporation (“MOI”). The MOI records many important rules that apply to the company, the directors and the shareholders, such as (i) what powers the shareholders vs the directors have, (ii) what percentage of votes are required to pass shareholders or directors resolutions, and (iii) when a shareholder can be forced to sell his/her shares. If a company has more than one shareholder it is vital to have a detailed MOI that is tailored to your specific situation.

Protection of Personal Information: Basic Implementation Legal Documents
The Electronic Communications and Transactions Act, the Protection of Personal Information Act, the Promotion of Access to Information Act (“PAIA”) and the Copyright Act all govern your website. As such you need to ensure that you have terms and conditions governing the visiting and use of information provided on your website, a privacy policy dictating how you will process personal information collected via cookies or information inputted into any website form and a PAIA manual to govern requests for information which your company may hold about an individual.

The Protection of Personal Information Act of 2013 (“POPIA”) has been enacted into law and the date for compliance is 30 June 2021. POPIA is intended to both give effect to the Constitutional right to privacy but also to align with international best practice around data protection. Complying with POPIA’s requirements is not a simple tick-box exercise. All businesses deal with personal information differently, and as a result their requirements, as well the risk associated with processing personal information, will differ. Moreover, POPIA compliance is an ongoing process which does not end once a business finishes a POPIA compliance project. Employees must be continually trained in the privacy policies and processes, and these must also be adapted to reflect the business’ changing circumstances.
However not all businesses have the appetite or ability to take on a full compliance exercise. As such we are offering a service that we hope will make the POPIA compliance process as painless as possible by allowing for an acceptable compliance approach without undertaking a compliance project out of proportion with the needs and abilities of the organisation.
